1 About GoldDonate & Acceptance of Terms

GoldDonate.com (the “Platform”) is a donation-based crowdfunding platform operated by Boreyroth Group, Inc., a corporation organized under the laws of the State of Delaware, United States (“GoldDonate,” “we,” “us,” or “our”). Boreyroth Group, Inc. focuses on technology, e-commerce and internet business solutions, including online platforms that enable individuals and organizations to raise funds transparently and securely. By accessing, browsing or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms of Service and all additional policies referenced here (including our Privacy Policy and any applicable campaign or donor guidelines). If you do not agree to these Terms, you must not use the Platform. If you are using the Platform on behalf of a company, non-profit organization or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” also refer to that entity.

2 Eligibility, Accounts & Security

You must be at least the age of legal majority in your jurisdiction (usually 18 years old) and have the legal capacity to enter into binding contracts to create an account, start a campaign, or make a donation on the Platform. You agree to provide accurate, current and complete information during registration, onboarding and any verification processes, and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account has been compromised, you must notify us promptly so we can help protect you and other users. We reserve the right to decline, suspend or terminate your account at any time if we reasonably believe that you have violated these Terms, applicable laws, or our risk and compliance policies, or if we need to do so to protect other users or the integrity of the Platform.

3 Campaigns, Donations & Use of Funds

GoldDonate provides tools that allow individuals, teams and organizations (“Fundraisers”) to create and manage campaigns so that supporters (“Donors”) can contribute funds to causes they care about. We do not create campaigns on behalf of Fundraisers, and we do not own or control the campaigns that appear on the Platform. As a Fundraiser, you agree that:

You will describe your campaign accurately and honestly, including the purpose of the fundraising and the intended use of funds.
You will comply with all applicable laws, regulations and tax obligations in the jurisdictions where you and your donors are located.
You will use donations only for the purposes stated in your campaign and will provide updates to donors where appropriate.

As a Donor, you understand and agree that:

Your donations are voluntary and normally non-refundable.
GoldDonate does not guarantee any particular outcome, reward or impact from a campaign.
All responsibility for running the campaign and using the funds rests with the Fundraiser, not with GoldDonate.

While we may perform automated checks or manual reviews, GoldDonate does not independently verify every campaign. Where we identify potential misuse or policy violations, we may take action such as pausing a campaign, delaying payouts, or notifying payment partners or relevant authorities.

4 Fees, Payments & Third-Party Providers

GoldDonate may charge platform and processing fees on donations, which are disclosed at checkout or in our fee schedule. The net amount that a Fundraiser receives may be reduced by these fees, as well as by any charges applied by payment processors, banks, or currency conversion providers. Payment processing services are provided by independent third-party providers (for example, payment gateways, card networks and financial institutions). By making or receiving payments through the Platform, you agree to be bound by the applicable terms and privacy policies of those providers in addition to these Terms. We may temporarily hold, delay, or reverse transactions and payouts where we suspect fraud, unauthorized activity, chargebacks, violations of these Terms, or where required by law, payment partners, or our internal risk and compliance assessments.

5 Prohibited Uses & Risk Management

You agree not to use the Platform for any unlawful, harmful or abusive purpose, including but not limited to:

Financing illegal activities, terrorism, sanctions evasion, money laundering or other financial crime.
Misrepresenting your identity, affiliation, or the true purpose of a campaign.
Infringing intellectual property, privacy rights or other legal rights of any person or entity.
Posting content that is deceptive, defamatory, hateful, harassing or otherwise harmful.

We may implement automated monitoring, manual review and enhanced due-diligence procedures to manage legal, financial and reputational risks. Where we reasonably believe that a user, account or transaction presents unacceptable risk, we may block or reverse transactions, deactivate campaigns, restrict features, or close accounts, and in some cases cooperate with payment partners or regulators.

6 Intellectual Property & User Content

The Platform, including its design, software, trademarks, service marks, logos and other proprietary elements, is owned by or licensed to Boreyroth Group, Inc. and its affiliates and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for lawful purposes. By uploading or posting any text, images, video, logos, or other materials (“User Content”) on the Platform, you represent and warrant that you have all necessary rights to do so and that the User Content does not infringe any third-party rights. You grant GoldDonate a worldwide, non-exclusive, royalty-free license to host, use, reproduce, display, adapt, and distribute your User Content in connection with operating, promoting and improving the Platform.

7 Disclaimers & Limitation of Liability

The Platform and all services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, GoldDonate disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. To the maximum extent permitted by law, GoldDonate and its directors, officers, employees, agents and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profits, revenue, goodwill or data arising out of or related to your use of the Platform, even if we have been advised of the possibility of such damages.

8 Indemnification, Governing Law & Changes

You agree to indemnify and hold harmless Boreyroth Group, Inc., GoldDonate, and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your campaigns or donations, your User Content, or your violation of these Terms or any applicable law. These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Depending on your location, mandatory consumer protection laws of your country may also apply. Any dispute arising out of these Terms may be subject to the jurisdiction of the courts located in Delaware or another competent court, as permitted by applicable law. We may update these Terms from time to time to reflect changes in our services, applicable law or operational requirements. When we make material changes, we will update the “Last Updated” date above and, where appropriate, provide additional notice on the Platform. Your continued use of GoldDonate after the changes become effective constitutes your acceptance of the revised Terms.
